Terms and Conditions

These Terms and Conditions (“Terms”) form a binding agreement between you and Sleeno Technologies (“Sleeno,” “we,” “our,” or “us”) governing your access to Sleeno websites, workspaces, Spaco AI features, files, projects, subscriptions, and related services (collectively, the “Services”).

By creating an account, purchasing a plan, or using the Services, you agree to these Terms and our Privacy Policy. If you use Sleeno for an organization, you represent that you have authority to bind that organization.

You must be legally capable of entering into this agreement and meet the minimum age required for online services in your jurisdiction. If you are under the age of legal majority, a parent or lawful guardian must authorize your use where permitted.

Provide accurate account information, maintain only accounts you are authorized to use, protect your password and sessions, and notify us promptly of suspected unauthorized access. You are responsible for activity performed through your account unless caused by Sleeno’s breach of duty.

Sleeno provides an AI productivity workspace that may include conversations, writing, research, coding assistance, file analysis, projects, automation, image generation, voice features, Spaco models, and plan-based tools.

Features may be introduced, improved, limited, suspended, or removed as the platform evolves. Availability can depend on your plan, location, device, connected providers, service capacity, and technical configuration. Beta or preview features may be less reliable and may change without notice.

AI output is generated probabilistically and may be inaccurate, incomplete, outdated, offensive, or unsuitable for your purpose. Similar prompts may produce similar output for different users. Sleeno does not guarantee that output is unique, correct, or free from third-party claims.

You must independently review output before relying on, publishing, deploying, or using it. Do not treat Sleeno output as a substitute for qualified medical, legal, financial, safety, or other professional advice. You remain responsible for decisions, code, content, actions, and outcomes resulting from your use of the Services.

Search-enabled responses may cite third-party sources. A citation does not mean Sleeno endorses that source, and you should verify it directly.

You retain ownership of content you submit to Sleeno and, as between you and Sleeno, any rights you may have in generated output, subject to applicable law and third-party rights.

You grant Sleeno a limited, worldwide, non-exclusive license to host, store, copy, transmit, process, display, and technically modify your content only as necessary to operate, secure, support, and improve the Services you request. This license ends when the content is deleted, except for temporary backups and lawful retention.

You represent that you have all rights and permissions needed to submit the content and instruct Sleeno to process it. Do not upload confidential, copyrighted, personal, or regulated information unless you are authorized to do so.

You may not use Sleeno to:

• Break the law, violate another person’s rights, or facilitate fraud, harassment, exploitation, or violence.
• Generate, distribute, or assist malware, credential theft, unauthorized access, destructive code, spam, or circumvention of security controls.
• Upload content containing unlawful material, non-consensual intimate content, child sexual abuse material, or content that exploits minors.
• Impersonate another person, misrepresent affiliation, manipulate civic processes, or deceive people in a materially harmful way.
• Probe, scrape, reverse engineer, overload, resell, sublicense, or access the Services through unauthorized automated means.
• Bypass plan limits, usage controls, account restrictions, safety measures, or payment requirements.
• Use output or personal data to make unlawful discriminatory decisions or high-impact decisions without appropriate human review.

We may investigate suspected misuse and restrict access where reasonably necessary to protect users, providers, or the Services.

Some features require a paid subscription or usage credits. Prices, included usage, renewal periods, and feature limits are shown at checkout or on the pricing page. Taxes may apply.

Paid subscriptions are processed through PayPal. By subscribing, you authorize recurring charges at the disclosed interval until cancellation. PayPal’s terms also apply to its payment service. You may cancel through available PayPal controls or by contacting support; access normally continues through the paid period unless law or the checkout terms state otherwise.

Except where required by law or expressly stated at purchase, fees already charged are non-refundable. Credits have no cash value, cannot be transferred, and may expire or reset according to the applicable plan. We may change future pricing or plan limits with reasonable advance notice where required.

Sleeno, Spaco, the Services, software, interfaces, designs, documentation, trademarks, logos, and underlying technology are owned by Sleeno or its licensors and are protected by intellectual-property laws.

Subject to these Terms, Sleeno grants you a limited, personal or internal-business, non-exclusive, non-transferable, revocable right to use the Services. No rights are granted except those expressly stated.

If you provide feedback, you permit Sleeno to use it without restriction or compensation, provided we do not publicly identify you without permission.

Sleeno may depend on or link to third-party services, including authentication, hosting, storage, payment, search, deployment, and integration providers. Their services and content are governed by their own terms and privacy policies.

We are not responsible for third-party services that we do not control. Changes or outages at a provider may affect Sleeno features.

We work to keep Sleeno available and reliable, but the Services are not guaranteed to be uninterrupted, error-free, or permanently available. Maintenance, capacity, security events, provider outages, model failures, or legal requirements may cause interruptions.

We may suspend or limit access when needed to prevent harm, investigate misuse, protect security, comply with law, or address unpaid charges. Where practical, we will provide notice and a reasonable opportunity to resolve the issue.

You may stop using Sleeno at any time and may request account deletion. Subscription cancellation and account deletion are separate actions.

We may terminate or suspend an account for a material or repeated breach of these Terms, serious security risk, unlawful use, non-payment, or where continued service is no longer reasonably possible. Provisions concerning ownership, payment obligations, disclaimers, liability, disputes, and other terms that by their nature should survive will remain effective.

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Sleeno disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.

Nothing in these Terms excludes warranties, guarantees, or remedies that cannot lawfully be excluded. The preceding disclaimer applies only to the extent permitted in your jurisdiction.

To the maximum extent permitted by law, Sleeno and its founders, personnel, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, goodwill, business, data, or opportunities; or the cost of substitute services arising from or related to Sleeno.

Where liability cannot be excluded, Sleeno’s aggregate liability for claims arising in the twelve months before the event giving rise to liability will not exceed the greater of the amount you paid Sleeno during that period or the minimum amount required by applicable law.

These limitations do not apply to liability that cannot legally be limited, including liability resulting from fraud or willful misconduct where applicable.

To the extent permitted by law, you will defend and indemnify Sleeno from third-party claims, damages, and reasonable costs arising from your unlawful use of the Services, your content, or your material violation of these Terms or another person’s rights. This obligation does not apply to the extent a claim results from Sleeno’s own breach or misconduct.

Before filing a formal claim, you and Sleeno agree to try to resolve the dispute by sending a written notice describing the issue and requested resolution to support@sleeno.com and allowing a reasonable period for response.

These Terms are governed by the laws applicable to Sleeno Technologies’ principal place of business, without regard to conflict-of-laws principles, except where mandatory consumer law requires another result. Courts with lawful jurisdiction over Sleeno’s principal place of business will hear disputes unless applicable law gives you the right to bring a claim elsewhere.

If part of these Terms is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent; Sleeno may transfer it as part of a reorganization, financing, merger, acquisition, or sale of assets.

These Terms, the Privacy Policy, and terms presented for a specific feature or purchase constitute the agreement concerning the Services. Feature-specific terms control only for that feature if they conflict with these Terms.

We may update these Terms to reflect service, legal, safety, or business changes. We will update the effective date and provide additional notice when required. Continued use after revised Terms take effect means you accept them; if you do not agree, stop using the Services.
